Gemini Space Station Inc., the crypto exchange founded by Cameron and Tyler Winklevoss, has lifted the fundraising target for its upcoming initial public offering (IPO) to $433.3 million, following strong investor interest.
Key Highlights
- IPO fundraising target increased to $433.3M, supported by a $50M investment from Nasdaq.
- New share price range: $24–$26 per share (previously $17–$19).
- Implied valuation: $3.1 billion.
- Despite losses of $282M in H1 2025, Gemini is prioritizing retail investor access.
Strong Demand Drives Higher Pricing
Gemini will offer 16.7 million shares, keeping the share count unchanged but raising the price band. At the top end, the company’s valuation reaches $3.1 billion. The IPO has been described as heavily oversubscribed, highlighting strong appetite for digital asset companies despite market volatility.
Adding further credibility, Nasdaq Inc. agreed to a $50M private placement at the IPO price, conditional on a successful listing. Gemini will trade on the Nasdaq Global Select Market under the ticker GEMI, with Goldman Sachs and Citigroup leading the offering.
Retail-Focused Allocation
Unlike traditional IPOs that heavily favor institutional buyers, Gemini has set aside a large chunk of shares for the public.
- 30% of shares will be available via platforms like Robinhood, SoFi, and Webull.
- 10% will be reserved for staff, affiliates, and long-term users.
This strategy underscores Gemini’s focus on brand loyalty and user engagement, aligning with its consumer-driven identity.
Financial Headwinds Remain
While investor interest is high, Gemini’s financial performance has been challenging. The exchange recorded $282.5M in net losses in H1 2025 against $68.6M in revenue, compared with a $41.4M loss on $74.3M revenue a year earlier.
Currently, Gemini oversees more than $18B in client assets, offering services across crypto trading, custody, staking, a USD-backed stablecoin, and a crypto rewards card.
Strategic Turning Point
Founded in 2014, Gemini has long sought to rival the largest U.S. exchanges. A successful IPO could act as a blueprint for other crypto firms eyeing public listings, potentially shaping investor sentiment for the entire sector.
